1. Introduction

Welcome to Datapin. These Terms and Conditions govern your use of our website (datapin.co.uk) and our software development, data engineering, and consulting services. By accessing our website or engaging our services, you agree to be bound by these terms.

2. Definitions

  • "Company" refers to Datapin (The Gyru App Ltd), registered in England and Wales.
  • "Client" refers to any individual or organisation that engages our services.
  • "Services" refers to software development, data engineering, AI/ML solutions, consulting, and related services provided by Datapin.
  • "Deliverables" refers to any software, documentation, reports, or other materials produced as part of our services.

3. Services

3.1 Scope of Work

The scope of services will be defined in a separate Statement of Work (SOW) or project agreement. Any changes to the scope must be agreed upon in writing by both parties.

3.2 Service Delivery

We will use reasonable efforts to deliver services in accordance with agreed timelines. However, delivery dates are estimates and not guaranteed unless explicitly stated in writing.

4. Intellectual Property

4.1 Client Ownership

Upon full payment, the Client will own all intellectual property rights in the Deliverables specifically created for them, unless otherwise agreed in writing.

4.2 Company Tools and Libraries

Datapin retains ownership of any pre-existing tools, libraries, frameworks, or methodologies used in delivering services. The Client is granted a non-exclusive licence to use these as part of the Deliverables.

4.3 Open Source

Where open-source software is incorporated into Deliverables, such software remains subject to its respective open-source licence terms.

5. Payment Terms

  • Payment terms will be specified in individual project agreements or invoices.
  • Unless otherwise agreed, invoices are due within 14 days of issue.
  • Late payments may incur interest at 8% above the Bank of England base rate.
  • All prices are exclusive of VAT unless stated otherwise.

6. Confidentiality

Both parties agree to keep confidential all proprietary information received from the other party. This obligation survives termination of any agreement and continues for a period of 3 years thereafter.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

8. Limitation of Liability

8.1 Cap on Liability

Our total liability for any claims arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

8.2 Exclusions

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

8.3 Exceptions

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Warranties

We warrant that our services will be performed with reasonable skill and care. We do not warrant that Deliverables will be error-free or uninterrupted, but we will use reasonable efforts to correct any material defects reported within 30 days of delivery.

10. Termination

  • Either party may terminate a project agreement with 30 days written notice.
  • Either party may terminate immediately if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice.
  • Upon termination, the Client shall pay for all work completed up to the termination date.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

12. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
